3. Eligibility and Accounts

3.1 Eligibility

The Services are intended exclusively for business and professional use by persons aged 18 or older. The Platform is not directed to, and may not be used by, children. We do not knowingly create accounts for minors. If we learn that an account belongs to a minor, we will terminate it and delete associated data.

3.2 Account registration

You agree that: (a) registration information will be accurate and complete; (b) you will keep it current; (c) you have legal capacity to enter into this Agreement; (d) you will safeguard your credentials and are responsible for all activity under your account; (e) you will notify us without undue delay at support@aici.com.ua of any suspected unauthorized access.

3.3 Workspaces and team access

  • Customer is the owner of its Workspace and of all Customer Content within it.
  • The Workspace administrator (“Admin”) may invite, suspend and remove Authorized Users, assign roles and permissions, access and export Customer Content, and delete Customer Content - including content created by other Authorized Users.
  • Where an Authorized User registers using an e-mail address on a domain controlled by an organization, we may associate that account with that organization’s Workspace and grant that organization’s Admin the rights described above.
  • Customer is responsible for its Authorized Users’ compliance with this Agreement and for any dispute between Customer and its Authorized Users regarding access to or ownership of Customer Content.
  • Seats are licensed on a named-user basis. Credentials may not be shared between individuals.

4. The Services

The Platform enables research teams to upload audio, video and textual materials; obtain automated transcription and diarization; translate, search, tag and code material; generate and store insights; and build research deliverables such as reports, customer journey maps (CJMs), personas and usability-testing analyses.

The Company may modify, improve or discontinue features at any time. Where a change materially degrades a core function of a paid plan, we will give [30] days’ prior notice by e-mail or in-product notification.

No professional advice. Outputs are research-support material, not professional, legal, medical, employment or financial advice, and are not a substitute for the Customer’s own analysis and judgment.

5. Customer Content

5.1 Ownership

As between the parties, Customer retains all right, title and interest in and to Customer Content, including Inputs and, to the extent capable of ownership, Outputs. The Company claims no ownership of Customer Content and does not acquire any rights in it other than the limited licence in Section 5.2.

5.2 Licence to the Company

Customer grants the Company a worldwide, non-exclusive, royalty-free licence to host, store, copy, transmit, display, encode, process and otherwise use Customer Content solely to the extent necessary to (a) provide, maintain and support the Services to Customer, (b) prevent or address technical or security issues, and (c) comply with law. This licence terminates on deletion of the relevant Customer Content, subject to Section 12.3 (backups) and any legal retention obligation.

5.3 Customer responsibilities and warranties

Customer represents and warrants that, for all Customer Content it submits:

  • (a) it has all rights, permissions, consents and lawful bases required to submit that content to the Platform and to have it processed by the Company and its Sub-processors, including transfers to and processing in the European Union, Canada, the United States;
  • (b) each Research Participant has been informed, in accordance with applicable law, of the recording, of the purposes of processing, of the use of automated/AI processing, and of the categories of recipients — and, where required, has given valid, freely given, specific, informed and unambiguous consent;
  • (c) it has complied with all applicable laws on recording of conversations, including any all-party (two-party) consent requirements applicable to the Research Participant’s jurisdiction;
  • (d) it will not submit special categories of personal data within the meaning of Art. 9 GDPR (health, biometric data used for identification, sexual life, political opinions, religion, trade-union membership, racial or ethnic origin) unless it has an appropriate legal basis under Art. 9(2) GDPR and has notified the Company in advance;
  • (e) it will not submit content that infringes the intellectual property, privacy or other rights of any third party.

Customer, not the Company, determines what Customer Content is uploaded, and bears responsibility for the accuracy, legitimacy and lawfulness of that content.

5.4 Deletion and export

Customer and its Admin may delete Customer Content and export it in [common formats like .csv, .json at any time through the Platform. Deletion requests are executed within 30 days across active systems and within 90 days across backups.

6. Use of Artificial Intelligence

The Company uses large language models and other machine-learning technologies (“AI Features”) to provide automated transcription, diarization, translation, summarization, thematic coding, sentiment analysis, insight extraction and the generation of research deliverables. AI Features are provided in part through third-party providers, each performing a defined function:

ProviderFunctionData received
ElevenLabsAutomatic speech recognition (speech-to-text) and speaker diarizationAudio/video files uploaded by Customer
OpenAISummarization, translation, thematic coding, sentiment analysis, generation of reports, personas and CJMsText transcripts and Customer prompts
Google (Gemini family)Summarization, translation, thematic coding, sentiment analysis, generation of reports, personas and CJMsText transcripts and Customer prompts

The current list, including any additional providers, is maintained at [URL: aici.com.ua/subprocessors]. The Company does not use synthetic voice generation, voice cloning or voice-based identification of any kind.

By using AI-enabled functionality, you acknowledge and agree to the following.

6.1 AI technology acknowledgment. Outputs are generated by probabilistic models. Transcription, translation, coding and analysis may contain errors, omissions, mis-attributions between speakers, and fabricated or unsupported statements (“hallucinations”). The Company strives for accuracy but does not warrant that Outputs are accurate, complete or current. Customer must independently review and verify all Outputs before relying on them, and must not present Outputs as verified research findings without human review.

6.2 No training on Customer Content. The Company does not use Customer Content (Inputs or Outputs) to train, fine-tune or otherwise improve any general-purpose or proprietary AI model. The Company has contracted with each of its AI Sub-processors on terms that apply zero data retention and no-training conditions to Customer Content, meaning that Customer Content submitted to those providers is not retained beyond the duration of the processing request and is not used for model training or human review. These commitments are set out in Section 10 of the DPA.

Where the Company wishes to use Customer Content for model improvement, it will do so only on the basis of a separate, express, revocable opt-in by the Customer, and only after de-identification and aggregation.

6.3 Service telemetry. The Company may collect and use aggregated, de-identified usage statistics and technical metadata (e.g. feature usage counts, error rates, latency, file sizes) that do not identify Customer, any Authorized User or any Research Participant, in order to operate, secure and improve the Services.

6.4 Similar outputs. Because of the nature of generative models, Outputs provided to Customer may be similar or identical to outputs provided to other customers. Customer acknowledges this and does not acquire exclusivity in the form or phrasing of Outputs.

6.5 Intellectual property in Outputs. As between the parties, Customer may use Outputs for any lawful purpose, subject to this Agreement. The Company makes no representation or warranty that (a) Outputs do not incorporate or reflect third-party material, or (b) Outputs do not infringe third-party intellectual property rights. Claims of intellectual property infringement arising from Outputs are excluded from the Company’s indemnity obligations under Section 15.2. [NOTE: enterprise customers will negotiate this — see Annex A.]

6.6 Prohibited AI uses. Customer shall not use the Services, and shall not permit any Authorized User to use the Services:

  • (a) to make or materially inform decisions about individuals in recruitment, hiring, promotion, task allocation, termination, access to education, credit, insurance, housing, essential public services, or law enforcement;
  • (b) to infer emotions of natural persons in the workplace or in education institutions;
  • (c) for biometric identification, biometric categorisation, or voice cloning of any natural person;
  • (d) for covert recording, surveillance or monitoring of employees or any person who has not been informed of the recording;
  • (e) to produce unlawful, deceptive, defamatory, discriminatory or harmful content, or content that leads to biased or unfair treatment of individuals.

If Customer wishes to use the Services for job-interview analysis or any other use falling within Annex III of the EU AI Act, it must obtain the Company’s prior written consent; absent such consent, such use is a material breach of this Agreement.

6.7 Transparency to Research Participants.

Customer is responsible for informing Research Participants that their recordings will be processed by automated/AI systems, as required by Art. 50 of the EU AI Act and applicable transparency rules. The Company makes template notice language available at [URL].

6.8 Sentiment analysis.

  1. The Platform offers a sentiment-analysis function that assigns indicative sentiment or tone labels to statements within research material.
  2. Text-based only. Sentiment labels are derived exclusively from the textual content of transcripts — that is, from the words spoken. The function does not analyse voice prosody, pitch, pace, breathing, facial expression, gaze, physiological signals or any other biometric characteristic, and does not process biometric data within the meaning of Art. 4(14) GDPR.

    Not emotion recognition. Because the function does not operate on biometric data, it is not an “emotion recognition system” within the meaning of Art. 3(39) of the EU AI Act.

  3. Indicative only. Sentiment labels are statistical estimates produced by a language model. They are frequently wrong in the presence of irony, humour, cultural or linguistic nuance, negation, translated speech, or transcription errors. They do not measure the actual emotional state of any person, must not be treated as a psychological or diagnostic assessment, and must not be used as evidence about an individual.
  4. Prohibited applications. Customer shall not use sentiment analysis, or any Output derived from it, to evaluate, score, monitor, rank or make or inform any decision about an identified or identifiable individual, and in particular not in the contexts listed in Section 6.6(a) and 6.6(b). Sentiment analysis is licensed for aggregate research insight about topics, products and experiences - not for assessment of persons.

6.9 Third-party terms. Customer agrees to comply with the applicable terms of third-party AI providers used to deliver the Services, as referenced at aici.com.ua/subprocessors.

7. EU AI Act

The Company integrates general-purpose AI models supplied by third parties into the Platform. It does not develop or train foundation models, does not place an AI system on the market under its own name in a manner that would qualify it as a provider, and does not act as an importer, distributor or product manufacturer under Regulation (EU) 2024/1689 (“EU AI Act”).

The Company’s use of LLMs is limited to transcription, translation, summarization, search, thematic coding, text-based sentiment labelling and the drafting of research deliverables from material supplied by Customer. As deployed and permitted by the Company, the Services are not intended for any of the high-risk purposes listed in Annex III of the EU AI Act, and Sections 6.6 and 6.8(e) contractually prohibit such use.

Emotion recognition. The Company does not provide, and the Services do not include, an emotion recognition system or a biometric categorisation system within the meaning of Arts. 3(39) and 3(40) of the EU AI Act. The sentiment-analysis function operates on text and not on biometric data (Section 6.8(b)). The Company does not permit use of the Services to infer the emotions of natural persons in the workplace or in education institutions, such use being prohibited under Art. 5(1)(f) of the EU AI Act.

Accordingly, the Company acts as a deployer of general-purpose AI systems and, in that capacity, commits to:

  • promoting an appropriate level of AI literacy among its staff and collaborators (Art. 4);
  • providing clear information to users on the intended purpose, capabilities and limitations of AI-generated content;
  • ensuring that content generated by AI Features is identifiable as such within the Platform interface.

Customer’s role. Where Customer uses the Services in a professional capacity, Customer acts as a deployer in its own right with respect to its use and must comply with the obligations applicable to deployers, including transparency toward Research Participants and human oversight of Outputs. Customer acknowledges that placing the Services on the market under its own name or trademark, or substantially modifying their intended purpose, may cause Customer to be treated as a provider under Art. 25 of the EU AI Act, at Customer’s sole risk.

8. Data Protection

8.1 Roles of the parties

With respect to personal data contained in Customer Content:

  • Customer is the controller (or processor acting for its own client) and determines the purposes and means of processing;
  • the Company is a processor acting on Customer’s documented instructions.

With respect to account data, billing data and Platform telemetry, the Company is a controller, as described in the Privacy Policy at [URL].

8.2 Data Processing Agreement

The DPA at URL: [aici.com.ua/dpa] is incorporated into this Agreement by reference and satisfies Art. 28(3) GDPR. It sets out the subject matter, duration, nature and purpose of processing, categories of data subjects and personal data, security measures (Art. 32), assistance obligations (Arts. 32–36), breach notification, deletion and return of data, and audit rights. In the event of conflict between this Agreement and the DPA regarding processing of personal data, the DPA prevails.

8.3 Sub-processors

Current Sub-processors are listed at aici.com.ua/subprocessors.. The Company will give Customer at least [30] days’ notice of any intended addition or replacement, and Customer may object on reasonable data-protection grounds as set out in the DPA.

8.4 International transfers

Customer Content is hosted in EU (Frankfurt) and may be processed in EU, US, AU. Transfers outside the EEA/UK are made under the European Commission’s Standard Contractual Clauses or another valid transfer mechanism, as detailed in the DPA.

Canada benefits from an [adequacy decision for commercial organisations subject to PIPEDA].

8.5 Security

The Company maintains technical and organisational measures appropriate to the risk, including encryption in transit and at rest, role-based access control, logging, least-privilege access for personnel. Details are set out in the DPA.

8.6 Retention

Customer Content is retained for the duration of the subscription and for 30 days after termination, after which it is deleted in accordance with Section 12.3.

9. Confidentiality

Each party may receive non-public information of the other (“Confidential Information”). Customer Content is Confidential Information of Customer. The receiving party will use Confidential Information only to perform under this Agreement, protect it with no less than reasonable care, and disclose it only to personnel and Sub-processors bound by confidentiality obligations. This clause does not apply to information that is public through no fault of the receiving party, independently developed, or lawfully received from a third party, and does not prevent disclosure required by law, provided reasonable prior notice is given where lawful.

10. Acceptable Use

You may not, and may not permit any person to:

  • systematically retrieve data or content from the Platform to build a competing collection, compilation or database;
  • circumvent, disable or interfere with security-related features, rate limits or access restrictions;
  • use the Platform to defraud, mislead or harvest credentials from other users;
  • upload or transmit viruses, trojans, or any code intended to interfere with the Platform or other users;
  • use bots, scrapers, crawlers or automated scripts outside the documented API, or make unauthorized automated use of the Platform;
  • copy, adapt, decompile, disassemble or reverse-engineer any part of the Platform;
  • remove copyright, trademark or other proprietary notices;
  • impersonate another person or misrepresent affiliation with any person or entity;
  • resell, sublicense, rent or otherwise commercialise access to the Platform without our written permission;
  • use the Platform to benchmark it for, or to develop, a competing product or service;
  • share seat credentials between individuals, or exceed contracted usage limits;
  • impose an unreasonable or disproportionate load on the Platform’s infrastructure;
  • harass, intimidate or threaten other users, our staff, contractors or agents; make false abuse reports; or misuse support channels;
  • use the Platform in any manner inconsistent with this Agreement or with applicable law.

Violation may result in suspension or termination under Section 12.

11. Payments and Subscriptions

  1. Plans and fees. Fees, plan limits (seats, transcription minutes, storage) and billing periods are set out on our pricing page at [URL] or in an applicable order form. Fees are exclusive of taxes; Customer is responsible for applicable VAT, GST/HST and other taxes.
  2. Forms of payment. We accept the payment methods offered at the time of purchase. Payment provider and available methods depend on your location and device. We may refuse a payment at our discretion.
  3. Currency. Payment is accepted in the currency offered for your location and in accordance with local law.
  4. Auto-renewal. Subscriptions renew automatically for successive periods equal to the initial term unless cancelled before the end of the current period. Cancellation takes effect at the end of the paid period.
  5. Price changes. We may change fees with at least [30] days’ prior notice, effective from the next renewal.
  6. Overages. Usage above plan limits may be charged at the rates published at subscription section or may result in throttling, at our option.
  7. Refunds. Except where required by law, fees are non-refundable. Refund requests are considered case-by-case at the Company’s sole discretion. EU/EEA and UK consumers retain any statutory right of withdrawal; where a consumer requests immediate access to digital services, that right may lapse once performance has begun with the consumer’s express consent and acknowledgment.
  8. Non-payment. We may suspend access for overdue amounts after 10 days’ notice.
  9. In-app purchases. Where the Services are offered through a mobile application, purchases are also subject to the terms of the applicable app store.

12. Term, Suspension and Termination

12.1 Suspension. We may suspend access immediately where (a) there is a material security or legal risk, (b) Customer materially breaches Sections 6.6 or 10, or (c) fees are overdue. We will notify Customer where lawful and practicable.

12.2 Termination. Either party may terminate for material breach not cured within [30] days of notice. Customer may terminate at any time by cancelling its subscription; the Company may terminate a free or trial account at any time on notice.

12.3 Effect of termination. Access ceases on termination or expiry. Customer may export Customer Content during a 30-day retrieval window, after which the Company will delete Customer Content from active systems within 30 days and from backups within 90 days, save where retention is required by law. Sections 5.1, 9, 13, 14, 15, 16 and 17 survive.

13. Intellectual Property of the Company

Except for Customer Content, all source code, databases, functionality, software, designs, media, content, trademarks, service marks and logos in or on the Platform are the Company’s intellectual property or that of its licensors, protected by applicable laws. Subject to this Agreement and payment of fees, the Company grants Customer a limited, non-exclusive, non-transferable, revocable right to access and use the Platform during the subscription term for its internal business purposes.

Feedback. If Customer provides suggestions or feedback, the Company may use them without restriction or compensation.

13.1 Intellectual property complaints

We respond to claims that material on the Platform infringes intellectual property rights. A notice should be sent to support@aici.com.ua and include: (a) an electronic or physical signature of the rights holder or an authorized agent; (b) identification of the work claimed to be infringed and of the allegedly infringing material, with sufficient detail to locate it; (c) your name, address, phone number and e-mail; (d) a statement that use is not authorized and that the notice is submitted in good faith; and (e) a statement, under penalty of perjury, that the information is accurate and that you are authorized to act.

We will act on valid notices, including removal or disabling of access, and may terminate repeat infringers. Where a notice is submitted by a person who is not the rights holder or authorized agent, that person may be liable for damages, including legal fees, for misrepresentation.

14. Disclaimer of Warranties

The Services are provided on an “as is,” “where is” and “as available” basis, with all faults and defects and without warranty of any kind.

To the maximum extent permitted by applicable law, the Company, on its own behalf and on behalf of its affiliates, licensors and service providers, disclaims all warranties, whether express, implied, statutory or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title and non-infringement, and warranties arising from course of dealing or usage of trade.

Without limitation, we make no representation or warranty that:

  • the Platform or any Service will be available, uninterrupted, secure or error-free;
  • transcripts, translations, summaries, thematic coding, insights, personas, CJMs or any other Output will be accurate, complete, current, unbiased or fit for Customer’s purposes;
  • speaker attribution, timestamps or language detection will be correct;
  • the Platform or communications from us will be free of viruses or other harmful components.

Some jurisdictions do not permit the exclusion of certain warranties or limitation of consumers’ statutory rights; those exclusions may not apply to you, and the limitations above apply to the greatest extent permitted by law.

15. Limitation of Liability and Indemnification

15.1 Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, GOODWILL OR ANTICIPATED SAVINGS, ARISING OUT OF OR RELATED TO THIS AGREEMENT, WHETHER IN CONTRACT, TORT OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

EXCEPT AS STATED IN SECTION 15.3, EACH PARTY’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE TOTAL FEES PAID OR PAYABLE BY CUSTOMER TO THE COMPANY IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR USD 100 FOR FREE-TIER USERS, WHICHEVER IS GREATER.

The parties acknowledge that these limitations reflect a reasonable allocation of risk and are an essential basis for making the Services available on an economically feasible basis.

Any cause of action arising out of the Services must be commenced within one (1) year after it accrues, except where a longer period is mandatory under applicable law.

15.2 Company indemnity

The Company will defend Customer against third-party claims alleging that the Platform (excluding Customer Content and Outputs, and excluding third-party AI models) infringes that third party’s intellectual property rights, and will pay resulting damages finally awarded or agreed in settlement, provided Customer promptly notifies the Company, allows it sole control of the defence, and cooperates reasonably. This indemnity does not extend to Outputs (see Section 6.5).

15.3 Exclusions from the cap

Nothing in this Agreement limits liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; (c) Customer’s payment obligations; (d) Customer’s breach of Sections 6.6 or 10; (e) either party’s indemnity obligations; or (f) any liability that cannot be limited or excluded under applicable law, including liability under Art. 82 GDPR.

15.4 Customer indemnity

Customer will defend, indemnify and hold harmless the Company, its affiliates and their officers, agents and employees from any loss, damage, liability, claim or demand, including reasonable legal fees, made by a third party arising out of: (a) Customer Content, including any claim by a Research Participant that recording or processing was unlawful or without valid consent; (b) breach of Section 5.3, 6.6 or 10; (c) breach of any representation or warranty in this Agreement; or (d) violation of a third party’s rights, including intellectual property and privacy rights.

We will use reasonable efforts to notify Customer of any such claim and reserve the right, at Customer’s expense, to assume exclusive defence and control of any matter subject to indemnification, in which case Customer will cooperate at its expense.

16. Governing Law and Dispute Resolution

16.1 Governing law. This Agreement is governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

16.2 Escalation. Before commencing formal proceedings, the parties will attempt in good faith to resolve any dispute by contacting support@aici.com.ua and negotiating for 30 days.

16.3 Mediation. If unresolved, the dispute shall be referred to mediation for a period of 30 days, with at least 10 hours committed by each party, under the National Mediation Rules of the ADR Institute of Canada, Inc. The language of mediation is English. Costs are shared equally.

16.4 Arbitration. If mediation fails, the dispute shall be finally resolved by binding arbitration seated in Toronto, Ontario, under the Arbitration Rules of the ADR Institute of Canada, Inc., before a single arbitrator, in English.

16.5 Exceptions. Either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property or Confidential Information.

16.6 Consumers. If you are a consumer resident in the EU/EEA or the UK, nothing in this Section deprives you of the protection of mandatory provisions of your country of residence, including your right to bring proceedings in the courts of your domicile.

17. General

17.1 Third-party services and integrations. The Platform may link to or integrate with third-party services (e.g. cloud storage, video-conferencing, collaboration tools). We do not control and are not responsible for their content, terms, privacy practices or availability. Use of an integration may require you to accept that provider’s terms, and may involve transferring Customer Content to that provider on your instruction.

17.2 Beta features. Features labelled beta, preview or experimental are provided as-is, may be modified or withdrawn at any time, are excluded from any service commitments, and are Confidential Information of the Company.

17.3 Changes to this Agreement. We may amend this Agreement. For material changes we will give at least 30 days’ notice by e-mail or in-product notice. Continued use after the effective date constitutes acceptance; if you do not accept, you may terminate and, for prepaid unused periods, request a pro-rata refund.

17.4 Notices. Notices to us: support@aici.com.ua, or by post to the address in Section 1. Notices to you: the e-mail registered to your account or in-product notification.

17.5 Electronic communications. You consent to receive agreements, notices and disclosures electronically and agree that electronic records and signatures satisfy any legal requirement that such communications be in writing.

17.6 Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control, including war, armed conflict, martial law, mobilisation, air-raid alerts, sustained power or telecommunications outages, natural disaster, or acts of government. Payment obligations are not excused.

17.7 Assignment. Customer may not assign this Agreement without our written consent, except to a successor in a merger or sale of substantially all assets. We may assign this Agreement to an affiliate or successor.

17.8 Entire agreement; severability; waiver. This Agreement, together with the DPA, Privacy Policy and any order form, constitutes the entire agreement. Failure to enforce any provision is not a waiver. If any provision is held unlawful or unenforceable, it shall be severed and the remainder shall continue in effect.

17.9 No agency. This Agreement does not create a joint venture, partnership, employment or agency relationship.

17.10 Language. If this Agreement is translated, the original English text prevails in the event of a dispute.

17.11 Order of precedence. In case of conflict: (1) the DPA (for personal-data processing), (2) a signed order form, (3) this Agreement, (4) the Privacy Policy, (5) any other documentation.
